Terms of Service

Welcome to RefStop.com, which is located at www.RefStop.com (the "Web Site"). The following Terms of Service ("TOS") contain the terms and conditions that govern your use of the Web Site and RefStop.com Service (as defined below). These TOS describe your rights and responsibilities and what you can expect from the RefStop.com Service. If you do not read, understand, and agree to all of the TOS, you may not use the Web Site.

RefStop.com reserves the right to add to, delete or change these TOS because of frequent changes in Internet technology and applicable law. As such, you should check these TOS from time to time for such changes.

1. The RefStop.com Service

RefStop.com is a web-based Service that allows its users to find and initiate trades for referral-based web sites (herein referred to as "RefStop.com", or "the Service"). "Trade" is defined as a binding agreement between two users wherein each user is responsible for one of the following: a) using the referral link of the other party, the user signs up (i.e. creates an account) then successfully completes an offer from those provided; b) the user compensates the other party in the form of a payment through an online payment provider.

2. Account Structure

RefStop.com currently has the following account structure:

(a) Free Accounts: RefStop.com accounts are available for free to all valid registrants. Free accounts offer a limited number of features and do not allow users to participate in any trades.

(b) Paid Accounts: Paid accounts are available for a one-time fee and offer users all features that RefStop.com offers. Paid accounts are nontransferable. Refunds may be offered on a case-by-case basis. Once a username is chosen and paid for, that user retains it until the account is deleted. Only one paid account is permitted per user, per IP address.

Only one account is allowed per person.

4. Your Registration Obligations

Account registration and verification is required in order to create a RefStop.com account. During registration, all users are required to provide accurate, complete and current information about themselves in all required fields. Should any of your own information change after submitting it to RefStop.com, you are hereby required to update that information as soon as possible. Should RefStop.com suspect that your personal information is not complete, current, or accurate, your account may be subject to suspension or termination.

5. Privacy Policy

Your use of the Service is subject to RefStop.com's privacy policy. For information on RefStop.com's privacy practices, please see the entire privacy policy at http://www.refstop.com/privacy.php.

6. Indemnity

You agree to indemnify and hold RefStop.com and its owners, employees and other partners, harmless from any alleged damage, loss, or expense, including without limitation, attorneys' fees and costs, made by any third party due to or arising out of your content, your use of the Service, your connection to the Service, your violation of the TOS, or your violation of any rights of another, whether you are a registered user or not. The user is solely responsible for his or her actions when using the Service, including, but not limited to, costs incurred for Internet access.

7. Member Conduct

You understand that maintenance of all personal information (referral link(s), contact information, etc…) is your sole responsibility. RefStop.com is not responsible for lost referrals due to incorrect referral links. Please double check your links before proposing or accepting a trade.

7.1 Prohibited Use. Except as may be expressly permitted by RefStop.com, you may not: (i) interfere with the RefStop.com Service by using viruses or any other programs or technology designed to disrupt or damage any software or hardware; (ii) modify, create derivative works from, reverse engineer, decompile or disassemble any technology used to provide the RefStop.com Service; (iii) use a robot, spider or other device or process to monitor the activity on or copy pages from the Web Site, except in the operation or use of an internet "search engine", hit counters or similar technology; (iv) collect electronic mail addresses or other information from third parties by using the RefStop.com Service; (v) impersonate another person or entity; (vii) engage in any activity that interferes with another user's ability to use or enjoy the RefStop.com Service; or (viii) assist or encourage any third party in engaging in any activity prohibited by these TOS, (ix) upload, post or otherwise transmit any content that is in RefStop.com's opinion to be unlawful, harmful, threatening, abusive, harassing, tortious, defamatory, vulgar, obscene, libelous, invasive to another's privacy (up to, but not excluding any address, email, phone number, or any other contact information with out the written consent of the owner of such information), hateful, or racially, ethnically or otherwise objectionable.

7.2 General Member Conduct. You agree to abide by all of the following guidelines, or face temporary or permanent suspension of your RefStop.com account:

  1. Honor all accepted trades. Once a proposed trade is accepted by either party, it becomes a binding agreement. If, for some reason, either party cannot hold up their end of the agreement, then the trade may be cancelled only if BOTH parties agree. In cases where both parties do not agree to cancel the trade, the terms of the agreement must be modified to satisfy both parties.
  2. Respond to trade requests within a reasonable amount of time (3-5 days).
  3. Be courteous to all other members of RefStop.com in any communication such as trade comments, forum posts and private messages.
  4. Do NOT spam RefStop.com members through e-mail or private message. Contact information is provided to facilitate trading – it is not provided to spam referral links for your programs. Users found to be sending out spam face permanent suspension of their RefStop.com account.
  5. Only offer cash for referrals if you have the ability to pay.
  6. Malicious feedback is not allowed nor tolerated; users found to engage in such practices face temporary or permanent suspension of their RefStop.com account.

6. Affiliate Rewards

RefStop.com offers incentives for bringing new users to the Service through our affiliate program. To get paid by out affiliate program, you must refer a user who has paid their membership fee or activated their account with one of the other options.

7. Termination

7.1 Termination. RefStop.com may suspend or terminate your use of the Web Site or RefStop.com Service if it believes, in its sole and absolute discretion, that you have breached a term of these TOS.

7.2 Survival. These TOS will survive indefinitely unless and until RefStop.com chooses to terminate them.

7.3 Effect of Termination. If you or RefStop.com terminates your use of the Web Site or the RefStop.com Service, RefStop.com may delete any content or other materials relating to your use of the Service and RefStop.com will have no liability to you or any third party for doing so. You are not entitled to a refund of the membership fee if you or RefStop.com terminates your account.

8. Disclaimers and Exclusions

8.1 Disclamer of warranties. RefStop.com provides the Web Site and RefStop.com Service on an "as is" and "as available" basis. RefStop.com does not represent or warrant that the web site, RefStop.com Service or its use: (i) will be uninterrupted. (ii) will be free of inaccuracies or errors, (iii) will meet your requirements, or (iv) will operate in the configuration or with the hardware or software you use. RefStop.com makes no warranties other than those made expressly in these TOS, and hereby disclaims any and all implied warranties, including without limitation, warranties of fitness for a particular purpose, merchantability and non-infringement.

8.2 Exclusion of damages. RefStop.com will not be liable to you or any third party for any consequential, incidental, indirect, punitive or special damages (including damages relating to lost profites, lost data or loss of goodwill) arising out of, relating to or connected with the use of the RefStop.com Service, based on any cause of action, even if advised of the possibility of such damages.

9. Revisions

RefStop.com may at any time revise these Terms of Service by updating this posting. By using this Service, you agree to be bound by any such revisions and should therefore periodically visit this page to determine the then-current Terms of Service to which you are bound.
